Terms of Service

These Terms govern your use of halor.app and our newsletter during Halor's pre-launch waitlist phase. They will be updated when the Halor mobile application launches.

We've written these Terms in plain English. They are a contract between you and Halor. If you don't agree to them, please don't use the Service.

1. Acceptance of Terms

By using halor.app or by subscribing to our newsletter, you agree to these Terms. If you don't agree, don't use the Service.

2. Definitions

  • Service — the halor.app website, the Halor newsletter (delivered via Beehiiv and mirrored on Substack), and any related communications during the pre-launch waitlist phase.
  • User or you — any person who visits halor.app, subscribes to the newsletter, or otherwise interacts with the Service.
  • Content — any written, visual, or audio material we publish through the Service, including newsletter issues, website copy, and social posts that link to the Service.
  • Halor or we / us / our — [Halor Pte. Ltd. — confirm registered entity name], registered in [registered office address], business registration number [UEN / business registration number].
  • Newsletter — our weekly publication delivered to subscribers' email and mirrored on Substack.

3. Eligibility

You may use the Service only if all of the following are true:

  • You are at least 18 years old.
  • You are a resident of a jurisdiction where Halor is offered (initially Singapore, Hong Kong, Australia, New Zealand) or otherwise lawfully permitted to receive the Service.
  • You are not a person with whom transactions are prohibited by applicable sanctions or export-control laws.
  • You agree to comply with these Terms.

4. Account and subscription

The pre-launch waitlist phase has no account login. Your "subscription" is your email address on our Beehiiv list (and, optionally, on our Substack publication).

When the Halor mobile application launches, additional account terms will apply (registration, authentication, profile data, in-app purchases). Those terms will be added to a future version of these Terms; you will be notified before they take effect.

5. License grant

We grant you a limited, non-exclusive, revocable, non-transferable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

This license does not allow you to:

  • Copy, redistribute, or republish substantial portions of our Content without written permission
  • Use our Content to train machine-learning models or to generate competing products
  • Reverse-engineer or scrape the Service
  • Resell access to the Service

If you want to quote or reference our Content (e.g., in your own writing, in a podcast, in a research paper), short excerpts with attribution to Halor and a link back to the source are welcome and do not require permission.

6. User conduct

You agree not to:

  • Use the Service for unlawful purposes
  • Impersonate Halor or any other person
  • Interfere with or disrupt the Service or its security
  • Send unsolicited messages to other subscribers using information you obtain through the Service
  • Harass, threaten, or abuse other subscribers or our team
  • Attempt to gain unauthorized access to any part of the Service

7. Intellectual property

All Content, branding, code, and curriculum associated with Halor are owned by us or our licensors. The Halor name, logo, and tagline are protected trademarks (registered or pending — confirm with counsel).

You retain all rights to material you submit (e.g., reply emails, social comments tagging Halor). By submitting, you grant Halor a non-exclusive, worldwide, royalty-free license to use, reproduce, and quote that material in connection with the Service. We will not publicly attribute submitted material to you by name without your consent.

8. User-generated content

If you reply to our newsletter or comment publicly on our Content:

  • You warrant that you have the right to submit the material and that it does not infringe any third party's rights.
  • You agree we may use it as described in § 7.
  • We may, at our discretion, edit, delete, or decline to use any submitted material.
  • Material submitted to public surfaces (Substack comments, social posts) is subject to that platform's terms, in addition to ours.

9. Health information disclaimer

Halor publishes educational content about health, healthspan, Medicine 3.0 and longevity. The Content is not medical advice, does not establish a physician-patient relationship, and must not be relied on as a substitute for individualized medical care.

Always consult a qualified healthcare provider before changing your diet, exercise, supplements, or medications, and before acting on any biomarker, lab value, or risk assessment discussed in our Content.

The full Health Disclaimer at halor.app/disclaimer is incorporated into these Terms by reference. By using the Service, you acknowledge and accept it.

10. Disclaimers of warranties

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Halor disclaims:

  • All warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement
  • Any warranty that the Service will be uninterrupted, error-free, secure, or free from viruses
  • Any warranty regarding specific health outcomes from reading or applying our Content

This § 10 is subject to the consumer-rights carve-out in § 11.

11. Limitation of liability

To the maximum extent permitted by law:

  • Halor's total liability arising out of or relating to these Terms or the Service is limited to the amount you paid us in the twelve months immediately preceding the event giving rise to the claim, or USD 100, whichever is greater. (During the pre-launch waitlist phase, no fees are charged, so this cap defaults to USD 100.)
  • Halor is not liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profit, loss of data, or loss of goodwill.

Australian Consumer Law carve-out (mandatory):

Nothing in these Terms excludes, restricts, or modifies any consumer right under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded, restricted, or modified.

New Zealand Consumer Guarantees Act: if you are a consumer in New Zealand acquiring the Service for personal use, the Consumer Guarantees Act 1993 may apply, and nothing in these Terms excludes those guarantees where the Act so provides.

Singapore and Hong Kong: any limitation in these Terms is subject to the reasonableness test under the Unfair Contract Terms Act (SG) and the Control of Exemption Clauses Ordinance (HK), respectively.

12. Indemnification

You agree to indemnify and hold Halor harmless from any third-party claim, demand, or expense (including reasonable legal fees) arising out of:

  • Your breach of these Terms
  • Your violation of any law or third-party right
  • Material you submit through the Service
  • Your use of the Service in a manner not authorized by these Terms

13. Termination

You may unsubscribe from the newsletter at any time using the unsubscribe link in any email. We may suspend or terminate your access to the Service if you breach these Terms or for any lawful reason, with or without notice.

Termination does not affect rights and obligations that have already accrued, nor does it terminate provisions that by their nature survive (intellectual property, disclaimers, limitation of liability, indemnification, governing law).

14. Modifications

We may modify these Terms. When we do:

  • The "Last updated" date at the top changes.
  • For material changes, we will provide at least 30 days' notice by email and a notice on halor.app.
  • Continued use of the Service after a material change constitutes acceptance.

If you don't agree to a material change, your remedy is to stop using the Service and unsubscribe.

15. Governing law

These Terms are governed by the laws of Singapore, without regard to its conflict-of-laws rules.

16. Jurisdiction

Subject to § 17 (dispute resolution), the courts of Singapore have exclusive jurisdiction over any dispute arising out of or relating to these Terms.

If you are a consumer resident in Australia or New Zealand, nothing in this clause prevents you from bringing proceedings in your local courts where the law of your jurisdiction so permits.

17. Dispute resolution

Before commencing any formal proceedings, the parties agree to attempt informal resolution by contacting legal@halor.app.

If informal resolution fails after 30 days, the parties agree to mediation through the Singapore Mediation Centre.

If mediation fails, the dispute will be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under its rules in force at that time, with the seat of arbitration in Singapore and a single arbitrator.

This § 17 does not limit the rights of consumers under non-excludable laws of their jurisdiction (e.g., AU Consumer Law, NZ Consumer Guarantees Act).

18. Severability, entire agreement, waiver, assignment

  • Severability: if any provision of these Terms is held unenforceable, the remaining provisions remain in effect.
  • Entire agreement: these Terms, together with the Privacy Policy, Health Disclaimer, and Cookie Policy, constitute the entire agreement between you and Halor regarding the Service.
  • Waiver: failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: you may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of substantially all our assets.
